SUNFLOWER HEADER SUN STREAM

GENERAL EXPORT TERMS AND CONDITIONS (GETC)
Annex and integral part of the Export Price List — Effective from January 1, 2026.
This document defines the standard terms of commercial cooperation between the Manufacturer and authorized Commercial Partners (Dealers) regarding the export sales of agricultural machinery. Placing an order based on the export price list implies full acceptance of the following conditions.
1. GENERAL PROVISIONS AND PRICE LIST VALIDITY
- The export price list and the information contained therein are strictly an invitation to submit orders and cannot be treated as a commercial offer within the meaning of the law.
- The price list is valid from the date of its publication until it is revoked or a new edition is issued.
- The Manufacturer reserves the right to unilaterally change the prices of machines, options, and spare parts without prior notice. These changes may result in particular from fluctuations in the prices of raw materials (mainly steel), energy costs, components from sub-suppliers, or exchange rate changes.
2. CURRENCY, PRICES AND TAXES
- All prices listed in the export price list are NET prices and are expressed in EUR (Euro).
- For business entities with a registered, active, and verified EU VAT number (USt-IdNr.) in the VIES system, invoices documenting Intra-Community Supply of Goods (ICS) are issued with a 0% VAT rate.
3. DELIVERY BASE AND LOGISTICS TERMS
- All machine prices are based on the FCA Ciechanów (Poland) formula according to Incoterms 2020 rules.
- The Manufacturer undertakes to load the ordered machines free of charge and correctly onto the means of transport provided by the Buyer or a carrier acting on their behalf.
- The costs of special (non-standard) packaging, transport organization, cargo insurance, and possible customs clearance (in the case of export outside the EU) are entirely and exclusively borne by the Buyer.
- The risk of accidental loss, damage, or deterioration of the machine passes to the Buyer upon completion of loading onto the provided means of transport and signing of the CMR / Delivery Note document.
4. PAYMENT TERMS AND PRODUCTION CAPACITY RESERVATION
For new Dealers and for custom orders, the basic commercial condition is 100% prepayment carried out as follows:
- 30% advance payment — payable within 7 days from the confirmation of order acceptance. The payment is the basis for reserving production slots and purchasing components.
- 70% final payment — payable before the planned collection of the goods, based on a proforma invoice. The goods will be released only after the funds are credited.
5. LEAD TIME AND FORCE MAJEURE
- The standard machine production time is 4 to 8 weeks from the moment the advance payment (30%) is credited. This time is approximate, and the final deadline is confirmed individually with each order depending on seasonality.
- The Manufacturer is not liable for non-performance or delayed performance of obligations resulting from Force Majeure. Force Majeure includes events beyond the control of the parties, in particular: wars, armed conflicts, border blockades, pandemics, strikes, natural disasters, market shortages of raw materials or energy, as well as sudden logistical delays of key component sub-suppliers.
6. WARRANTY AND SERVICE SUPPORT
- The Manufacturer grants a warranty for the proper operation of the machine for a period of 24 months (2 years), counting from the date of issue of the delivery document or commercial invoice.
- The warranty covers the delivery of new components or spare parts replacing elements in which an authorized service center has found and proven the occurrence of hidden manufacturing or material defects.
- The warranty strictly does not cover: parts subject to natural wear during normal operation (e.g., working elements in contact with the soil, coulters, tines, plowshares, V-belts, tires, hydraulic hoses, working bearings), mechanical damage caused during the Buyer's transport, failures resulting from improper use, overloading the machine, or lack of periodic maintenance stipulated in the User Manual.
- Cost Distribution (Dealer Model): The Manufacturer covers exclusively the cost of the defective part. The costs of transport (shipping) of the new part to the Dealer, labor costs (mechanics' remuneration), travel of the service team to the end customer (farmer), and any transport of the machine to the repair workshop are borne entirely and exclusively by the Dealer.
7. ORDER CANCELLATION POLICY
- Due to the production of agricultural machinery for a specific configuration and specification of the ordering party, cancellation of the order by the Buyer after the start of the production process results in the full forfeiture of the paid advance (30% of the order value) as a lump-sum coverage of material, logistics, and production costs incurred by the Manufacturer.
- Returns of fully functional goods delivered in accordance with the order specification are not accepted.
8. GOVERNING LAW AND JURISDICTION
- All legal and commercial relations between the Manufacturer and the Buyer arising from the execution of orders are governed exclusively by Polish law. The provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG), drawn up in Vienna on April 11, 1980, are strictly excluded.
- Any disputes that the parties fail to resolve amicably shall be subject to the exclusive jurisdiction of the Polish common court materially and locally competent for the Manufacturer's registered office (Court in Ciechanów / Płock).
